M&A Attorney (Senior-Level or Of Counsel)

A leading law firm is seeking a Senior Associate or Of Counsel attorney with strong private equity experience to join its corporate practice. The ideal candidate will have a minimum of five years of experience representing private equity firms and their portfolio companies across a wide range of complex transactional matters.

Responsibilities:

• Advise private equity clients on equity investments, co-investments, investment management matters, and general corporate transactions.

• Draft and negotiate operating agreements, partnership agreements, shareholder agreements, investor rights agreements, and related transactional documents.

• Support portfolio companies with day-to-day corporate governance and ongoing legal needs.

• Work with management teams on equity arrangements, including incentive equity terms.

• Collaborate across practice areas and assist with transactions involving private equity fund structures and mergers and acquisitions.

Qualifications:

• Juris Doctor (J.D.) from an ABA-accredited law school with strong academic performance.

• At least five years of experience advising private equity firms and portfolio companies on complex transactions.

• Admission to the relevant state bar or ability to become admitted.

• Excellent drafting, communication, and analytical skills.

• Ability to work independently while contributing effectively in a team environment.
